Trade Account Terms

These Trade Account Terms apply in addition to our general Terms of Service to any customer purchasing through a DOORFRAMER, Inc. trade, wholesale, or bulk-order account (a “Trade Account”). Where these terms conflict with our general Terms of Service, these Trade Account Terms control for Trade Account orders.

Eligibility

Trade Accounts are available to [INSERT ELIGIBILITY CRITERIA — e.g., licensed contractors, door/window distributors and manufacturers, and other businesses purchasing for commercial resale or installation use]. We may require documentation (e.g., business license, resale certificate, tax ID) before approving a Trade Account, and may decline or revoke Trade Account status at our discretion.

Minimum Order Quantities

Pricing

Trade Account pricing may differ from standard retail pricing shown on our consumer storefront and is provided to approved Trade Account holders only. Payment Terms

Late payments may be subject to [INSERT ANY LATE FEES/INTEREST, IF APPLICABLE] and may result in suspension of Trade Account privileges.

Shipping and Freight

Trade Account orders, particularly bulk or palletized shipments, may ship via freight carrier. [INSERT FREIGHT TERMS — e.g., “Orders ship FOB [INSERT SHIPPING POINT], meaning title and risk of loss transfer to the buyer once the order is tendered to the carrier.”] Buyer is responsible for ensuring a suitable delivery location (e.g., loading dock, forklift access) is available, where applicable. Additional charges may apply for residential delivery, liftgate service, or limited-access delivery sites.

Returns and Cancellations

Warranty

Products purchased under a Trade Account are subject to our standard warranty terms, except as modified here: [INSERT ANY TRADE-SPECIFIC WARRANTY DIFFERENCES, IF APPLICABLE, OR STATE THAT THE STANDARD WARRANTY APPLIES.]

Resale and Use of DOORFRAMER, Inc. Trademarks

Trade Account holders may resell or use DOORFRAMER, Inc. products in connection with services provided to their own customers, but may not use DOORFRAMER, Inc.’s name, logo, or trademarks in their own marketing without our prior written consent, except to accurately identify that DOORFRAMER, Inc. products are used or sold.

Confidentiality of Pricing

Trade Account pricing, credit terms, and account-specific arrangements are confidential and may not be disclosed to third parties without our consent.

Term and Termination

Either party may terminate a Trade Account relationship at any time. Termination does not affect obligations for orders already placed or amounts already owed.

Governing Terms

These Trade Account Terms incorporate by reference our general Terms of Service, including its provisions on limitation of liability, indemnification, governing law, and dispute resolution, except as expressly modified above.
